Acceptance of Terms

By accessing or using Vendorail's platform, website, mobile application, or any of our services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use our Services.

Description of Services

Vendorail provides a vendor management and procurement platform that enables businesses to:

• Discover, evaluate, and connect with verified vendors and suppliers
• Manage vendor relationships, contracts, and performance metrics
• Streamline procurement workflows and purchase order management
• Access analytics, reporting, and AI-powered insights for vendor selection
• Facilitate secure communication and document exchange between parties

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

User Accounts & Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

1. Provide accurate, current, and complete information during the registration process
2. Maintain and promptly update your account information to keep it accurate and complete
3. Maintain the security and confidentiality of your login credentials
4. Accept responsibility for all activities that occur under your account
5. Notify Vendorail immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use our Services. Vendorail reserves the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation
• Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Services or related systems
• Attempt to gain unauthorized access to the Services, other accounts, or computer systems
• Upload or transmit viruses, malware, or any other malicious code
• Harvest, scrape, or collect user data without proper authorization
• Engage in any activity that could damage, overburden, or impair Vendorail's infrastructure

Intellectual Property Rights

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of Vendorail or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms. You may not:

• Reproduce, distribute, modify, or create derivative works of any content
• Use any data mining, robots, or similar data gathering methods
• Reverse engineer, decompile, or disassemble any software used in the Services
• Remove any copyright, trademark, or other proprietary notices

Payment & Billing

Certain features of the Services may require payment of fees. By selecting a paid plan, you agree to the following:

• Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan
• Payment Method: You must provide a valid payment method. You authorize Vendorail to charge your payment method for all fees incurred
• Price Changes: Vendorail reserves the right to adjust pricing with at least 30 days' prior written notice
• Refunds: All fees are non-refundable unless otherwise stated in your service agreement or required by applicable law
• Late Payments: Overdue amounts may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower

Privacy & Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key commitments regarding your data:

• We implement industry-standard security measures to protect your data
• We will not sell your personal information to third parties
• We comply with applicable data protection regulations including GDPR and CCPA where applicable
• You retain ownership of your data and may request its export or deletion at any time
• We process data only as necessary to provide and improve our Services

Termination

Either party may terminate this agreement as follows:

• By You: You may cancel your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period
• By Vendorail: We may suspend or terminate your access immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or pose a risk to other users or our systems

Upon termination:

• Your right to use the Services will cease immediately
• You may request an export of your data within 30 days of termination
• Vendorail may delete your data after the 30-day period
• Provisions that by their nature should survive termination (including intellectual property, indemnification, and limitation of liability) shall remain in effect

Disclaimers & Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Vendorail does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected

Indemnification

You agree to indemnify, defend, and hold harmless Vendorail and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit, post, or transmit through the Services

Changes to Terms

Vendorail reserves the right to update or modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will notify you via email or through a prominent notice on our platform at least 30 days before the changes take effect
• Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms

We encourage you to review these Terms periodically to stay informed of any updates.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through:

1. Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days
2. Mediation: If negotiation fails, the dispute shall be submitted to mediation
3. Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with applicable rules
